Corporate Governance Services

Creating Effective Corporate Governance
Narva & Company recommends its clients establish a truly supervisory governance process, where either a board of directors or council of advisors meets regularly and exercises genuine oversight for the management of all business operations.

Our advisors offer practical guidance and education for:
  • Clients with a well established board of directors
  • Clients with early stage boards which can be increasingly professionalized by adding independent directors or non-voting advisors
  • Clients ready to establish its first board or council of advisors
Our corporate governance advisory services include
guidance in the following areas:
  • Effective board leadership and meeting protocols
  • Understanding director roles and responsibilities
  • Appropriate board compensation
  • Creating or enhancing a board committee structure
  • Preparing the next generation of family directors through board committee membership
  • Implementing a board evaluation process
  • Providing board level oversight of financial controls and financial management through an interim audit committee function
  • Establishing a board succession plan
  • Recommendations for continuing director education

Board Search Practice

Searches to fill vacancies on existing boards:
We conduct board searches through a formal, multiphase search process. We draw potential candidates from our proprietary database of experienced advisors and directors who are also well versed in the dynamics of family companies.

Searches to Create A Council of Advisors:
We design and recruit a council of advisors for companies seeking effective outside perspective in a governance forum which is significantly different from a board of directors in composition and fiduciary responsibility.

We've always prided ourselves on our self-reliance. But when USALCO began to grow rapidly, we knew we had to take a hard look at family relationship issues that were playing out in our business.

At the same time we needed to develop and train our management team and build a smart, effective board to keep us on track for our next phase of growth. Richard Narva and his team provided us with the guidance we needed on both sets of issues.
